IMPORTANT NOTICE This Agreement affects legal rights. It contains an assumption of risk, release of liability, indemnification obligation, limitation of liability, and permission to use photographs and recordings. Please read it carefully before signing. 1. Definitions For purposes of this Agreement: “Event” means [EVENT NAME], including its setup, operation, public hours, workshops, demonstrations, performances, exhibitions, breakdown, and related activities. “Maker” means the individual or organization applying for or receiving space at the Event, together with its owners, officers, employees, members, contractors, assistants, volunteers, performers, instructors, agents, and representatives. “Maker Activities” include, without limitation: Craft workshops and hands-on activities; Tables, booths, displays, and sales areas; Demonstrations and presentations; Performances; Exhibitions and installations; Setup, loading, unloading, operation, and breakdown; and Any tools, equipment, materials, products, displays, or activities brought to or conducted at the Event by or for the Maker. “Organizer” means [ORGANIZER LEGAL NAME], together with the Event’s producers, affiliates, directors, officers, employees, volunteers, contractors, agents, sponsors, venue owners and operators, landlords, governmental partners, and participating public agencies, collectively referred to as the “Released Parties.” 2. Acceptance and Authority By signing or electronically accepting this Agreement, the Maker confirms that: The Maker has read and agrees to comply with this Agreement and all Event rules, instructions, safety requirements, deadlines, and policies. The person signing for an organization has authority to bind that organization. Each individual participating on the Maker’s behalf will be informed of and required to follow these terms. Each adult participant may be required to sign an individual assumption-of-risk and release form. An organization’s representative may not sign away the individual legal rights of employees, volunteers, contractors, or other participants unless legally authorized to do so. Acceptance of a Maker’s application does not create a right to participate if the Maker fails to satisfy Event requirements. 3. Application Information and Activity Disclosure The Maker shall provide complete and accurate information concerning: The exhibit, workshop, demonstration, performance, or activity; All equipment, tools, products, and materials being brought to the Event; Electrical and internet requirements; Noise, light, smoke, odor, heat, vibration, or other effects; Chemicals, adhesives, paints, solvents, fuels, compressed gases, batteries, or hazardous materials; Open flames, heating devices, lasers, machinery, sharp tools, moving components, projectiles, or pressure systems; Animals, food, beverages, or regulated products; Accessibility needs; The number and ages of participating personnel; and Any reasonably foreseeable risks to attendees, workers, property, or other participants. The Maker must obtain written approval before materially changing an approved activity. Failure to disclose a material risk or activity may result in rejection, suspension, or immediate removal without refund. 4. Space Assignment The Organizer may determine and change: Table, booth, stage, workshop, or exhibition placement; Space dimensions and orientation; Setup and breakdown times; Performance and demonstration schedules; Access routes; Noise limits; Capacity limits; and Operational requirements. The Organizer does not guarantee any particular location, attendance level, audience size, publicity, sales volume, business opportunity, electrical service, internet service, or other commercial result. The Maker may not assign, share, sublicense, or transfer its space without prior written approval. 5. Fees, Payment, and Cancellation Any participation fee, table fee, commission, deposit, or other charge shall be stated separately in the Maker’s application or confirmation. Unless otherwise stated in writing: Fees are due by the stated deadline. Failure to pay may result in cancellation. Maker cancellation must be submitted in writing. Fees are nonrefundable after [REFUND DEADLINE]. Processing fees and expenses already incurred may be nonrefundable. Failure to attend does not entitle the Maker to a refund. Removal for misconduct, unsafe practices, rule violations, or inaccurate disclosures does not entitle the Maker to a refund. The Organizer may establish a separate written refund policy that controls if it conflicts with this section. 6. Maker’s General Responsibilities The Maker is solely responsible for: Its personnel and activities; Safe setup, operation, and breakdown; Continuous supervision of its space; Proper use and maintenance of tools and equipment; Providing competent instructors, operators, and assistants; Preventing unauthorized access to restricted materials or equipment; Maintaining clean, stable, and unobstructed displays; Securing cords, displays, signs, equipment, and other objects; Following manufacturer instructions; Using appropriate personal protective equipment; Safely storing and disposing of materials; Protecting participants, attendees, property, and the public; Correcting unsafe conditions immediately; and Stopping an activity when conditions become unsafe. The Maker shall ensure that its exhibit remains staffed during required Event hours unless the Organizer approves otherwise. 7. Workshops and Hands-On Activities A Maker conducting a workshop or hands-on activity shall: Provide clear instructions and warnings before participation. Explain foreseeable hazards in language appropriate for the expected participants. Provide adequate supervision and instructor-to-participant ratios. Limit participation according to age, ability, space, equipment, and safety considerations. Obtain any participant consent or separate activity waiver required by the Organizer. Use appropriate guards, barriers, ventilation, protective equipment, and sanitation measures. Inspect tools and materials before use. Prevent participants from using tools or materials beyond their demonstrated ability. Maintain safe separation between active work areas and spectators. Immediately stop any participant acting unsafely. The Organizer may limit or prohibit public use of any tool, material, or equipment. 8. Demonstrations, Machinery, and Tools Moving machinery, power tools, sharp tools, heated equipment, robotics, motorized devices, and similar equipment must be operated only by competent and authorized persons. The Maker shall use, as applicable: Physical barriers; Safety guards; Emergency shutoffs; Stable mounting; Protective shields; Warning signs; Hearing protection; Eye protection; Ventilation; Fire-resistant surfaces; Spotters or safety personnel; and Adequate separation from attendees. Tools and machinery must be disabled, locked, guarded, or removed when unattended. No equipment may create a risk of entanglement, crushing, cutting, electrical shock, fire, burns, projectiles, uncontrolled movement, excessive noise, or exposure to hazardous substances. 9. Performances and Staged Activities Performers and stage participants shall comply with all schedules, technical instructions, capacity restrictions, sound limits, and safety requirements. The Maker must disclose and obtain written approval for: Audience participation; Aerial or elevated activity; Stunts or simulated combat; Weapons or weapon-like props; Pyrotechnics or special effects; Fire, flame, smoke, haze, or fog; Confetti, liquids, powders, or projectiles; Amplified sound; Animals; and Any activity extending beyond the assigned performance area. The Maker is responsible for securing all music, performance, union, intellectual-property, and other permissions required for its performance. 10. Restricted and Prohibited Items Unless expressly approved in writing, Makers may not bring, use, display, distribute, or operate: Firearms, ammunition, explosives, fireworks, or functional weapons; Open flames, torches, candles, or pyrotechnics; Fuel-powered engines operating indoors; Hazardous, toxic, corrosive, reactive, or flammable substances; Unprotected lasers or high-intensity light sources; Compressed gas cylinders; Uncontained liquids, powders, smoke, or airborne particles; Equipment that interferes with emergency systems; Unauthorized drones or remote aircraft; Illegal, counterfeit, obscene, discriminatory, or infringing materials; Controlled substances or drug paraphernalia; Alcohol unless specifically licensed and approved; Animals other than approved service animals or expressly authorized exhibit animals; or Any item or activity the Organizer, venue, fire-safety personnel, law enforcement, or governmental authority considers unsafe or inappropriate. Approval may be conditioned on additional permits, barriers, supervision, insurance, or safety measures. 11. Electricity, Batteries, and Technical Equipment The Maker shall use only approved electrical connections and equipment. The Maker may not: Overload circuits; Use damaged cords or equipment; Create exposed electrical connections; Daisy-chain power strips or extension cords; Run unprotected cords through public walkways; Modify venue wiring; Obstruct electrical panels; or Charge or operate damaged, swollen, recalled, or improperly contained batteries. Lithium batteries, charging stations, high-current systems, and custom-built electrical equipment must be disclosed and may require additional approval. The Organizer may disconnect equipment that appears unsafe or interferes with Event operations. 12. Fire and Life Safety The Maker shall maintain clear access to: Exits; Aisles; Fire extinguishers; Alarm equipment; Sprinklers; Electrical panels; Emergency routes; and Safety equipment. All decorations, fabrics, structures, and display materials must comply with applicable flame-resistance and fire-safety requirements. The Maker shall immediately follow instructions from the Organizer, venue personnel, fire-safety personnel, police, emergency personnel, and governmental authorities. 13. Structures and Displays All tables, shelving, walls, signs, tents, canopies, installations, and display structures must be stable, appropriately weighted, properly assembled, and suitable for the location. The Maker may not: Attach items to venue property without permission; Damage floors, walls, ceilings, landscaping, or fixtures; Obstruct visibility or neighboring exhibits; Exceed approved dimensions or weight limits; Create trip hazards; Place items outside the assigned area; or Install overhead, suspended, or elevated objects without approval. The Maker is responsible for all damage caused by its personnel, activities, materials, or equipment, except to the extent caused solely by a Released Party’s negligence or misconduct. 14. Sales, Taxes, and Consumer Transactions The Maker is solely responsible for: Determining whether sales are permitted; Obtaining required licenses, registrations, and tax authority; Collecting and remitting sales tax; Product labeling and warnings; Product safety and recalls; Warranties and refunds; Payment processing; Consumer privacy; Compliance with advertising and consumer-protection laws; and All transactions with customers. The Organizer is not a party to transactions between the Maker and attendees and does not guarantee or endorse the Maker’s products or services. Sales of food, beverages, alcohol, regulated products, or services requiring professional licensure are prohibited unless specifically approved and properly permitted. 15. Permits, Licenses, and Legal Compliance The Maker shall comply with all applicable: Federal, New York State, and New York City laws; Venue rules; Fire and building codes; Health and sanitation requirements; Labor and employment laws; Accessibility requirements; Licensing and permitting requirements; Sales-tax requirements; Consumer-protection laws; Intellectual-property laws; and Organizer policies. The Maker must obtain and maintain all permits, licenses, certificates, inspections, approvals, and professional qualifications required for its activities. The Organizer’s approval does not constitute legal, technical, safety, or regulatory approval. 16. Food and Beverages Food or beverage preparation, sampling, distribution, or sale is prohibited unless approved in writing. An approved food or beverage Maker shall be responsible for: Required Health Department permits; Food-handler or food-protection qualifications; Allergen notices; Temperature control; Handwashing and sanitation; Safe storage; Wastewater and waste disposal; Ingredient labeling; and Compliance with all health regulations. The Maker shall not represent food as allergen-free unless it can substantiate that representation and prevent cross-contact. 17. Minors A person under 18 may participate only under the conditions established by the Organizer. The Organizer may require: Written parental or legal-guardian consent; A separate minor participation agreement; A parent or guardian to remain present; Direct adult supervision; Proof of age; Restrictions on tools, equipment, materials, or activities; and Separate media consent. No adult may sign this Agreement on behalf of an unrelated minor unless legally authorized. A parent or guardian’s signature constitutes permission for the minor to participate and confirms the adult’s agreement to supervise and follow Event rules. It does not waive any right that cannot legally be waived on behalf of the minor. 18. Accessibility and Accommodations The Maker shall make reasonable efforts to ensure that its space and activities are accessible and do not obstruct accessible routes. The Maker shall not discriminate based on any status protected by applicable law. Accessibility concerns or accommodation requests should be submitted to [ACCESSIBILITY CONTACT] as early as reasonably possible. 19. Conduct and Anti-Harassment The Event is intended to provide a safe and respectful environment. The Maker shall not engage in: Harassment; Discrimination; Threats or intimidation; Violence; Unsafe or disruptive conduct; Unwanted physical contact; Sexually inappropriate behavior; Deliberate interference with another participant; Unauthorized recording in private areas; Fraudulent or misleading representations; or Conduct reasonably likely to harm the Event or its participants. The Organizer may remove any person or exhibit it reasonably believes violates this policy or threatens safety, operations, or the Event environment. 20. Intellectual Property The Maker represents and warrants that it has the right to display, perform, distribute, demonstrate, sell, or otherwise use all content, designs, products, music, artwork, trademarks, copyrighted works, software, recordings, and other materials used in its participation. The Maker retains ownership of its intellectual property. The Maker grants the Organizer a limited, nonexclusive, royalty-free license to use the Maker’s submitted name, logo, photographs, descriptions, and approved promotional materials to advertise, administer, document, and report on the Event. The Organizer is not responsible for unauthorized copying, photography, recording, disclosure, or infringement by attendees or third parties. The Maker is responsible for protecting confidential information, trade secrets, prototypes, and patent rights. 21. Photography, Video, and Publicity Consent The Maker understands that the Event may be photographed, livestreamed, filmed, or recorded. To the extent permitted by law, the Maker grants the Organizer and its authorized partners permission to photograph, record, reproduce, edit, publish, display, stream, distribute, and otherwise use the Maker’s: Name; Voice; Likeness; Image; Appearance; Exhibit; Performance; Workshop; Demonstration; and Statements made in connection with the Event. This permission may be used worldwide, in any medium, for Event promotion, documentation, reporting, education, fundraising, sponsor reporting, archival use, and related non-defamatory purposes, without additional compensation. The Maker waives the right to inspect or approve the finished material. This permission does not authorize use that falsely states a personal endorsement of an unrelated product or political candidate. The Maker is responsible for obtaining appropriate media permission from its personnel and participants. Separate parental or guardian consent must be obtained before intentionally featuring a minor where required. Any requested restriction on photography must be approved in writing before the Event. 22. Personal Property and Security The Maker is responsible for securing and insuring its property. The Released Parties are not insurers of the Maker’s property and do not assume custody or control of exhibits, merchandise, tools, cash, prototypes, equipment, or personal belongings. To the fullest extent permitted by law, the Released Parties are not responsible for theft, loss, disappearance, vandalism, weather damage, water damage, electrical interruption, accidental damage, or damage caused by attendees or third parties. The Maker should not leave valuable or confidential property unattended. 23. Insurance Upon request, the Maker shall provide evidence of insurance appropriate to its activities. Required insurance may include: Commercial general liability insurance; Product liability insurance; Workers’ compensation insurance; Disability benefits coverage; Automobile liability insurance; Professional liability insurance; Liquor liability insurance; Property insurance; and Any specialized coverage appropriate to the activity. Unless otherwise stated by the Organizer, commercial general liability coverage shall be no less than: The Organizer, venue, property owner, sponsors, and any governmental entity specified by the Organizer may be required to be named as additional insureds on a primary and noncontributory basis. Insurance requirements do not limit the Maker’s responsibilities or liability under this Agreement. 24. Maker’s Representations and Warranties The Maker represents and warrants that: Its application and disclosures are accurate. Its activities are lawful and reasonably safe when conducted as represented. Its personnel are competent and appropriately trained. Its equipment is maintained in safe operating condition. Its products and materials are reasonably fit for their intended purpose. It has all necessary permissions, licenses, permits, and insurance. Its participation will not infringe another party’s rights. It will comply with Event instructions and immediately correct unsafe conditions. It will not conceal a material hazard or unauthorized activity. It is not relying on any attendance, sales, publicity, sponsorship, or business guarantee. 25. Acknowledgment and Assumption of Risk The Maker understands that participation in an event involving workshops, tools, machinery, displays, performances, crowds, temporary structures, electrical equipment, loading, unloading, and public interaction may involve known and unknown risks. Such risks may include, without limitation: Slips, trips, and falls; Cuts, punctures, splinters, and abrasions; Burns and heat exposure; Eye or hearing injury; Electrical shock; Equipment malfunction; Falling or moving objects; Allergic reactions; Exposure to dust, fumes, adhesives, paints, chemicals, or other materials; Crowd contact; Physical exertion; Property damage; Transportation and loading risks; Weather and outdoor conditions; Illness or communicable disease exposure; Acts or omissions of attendees, Makers, contractors, or other third parties; and Serious bodily injury, permanent disability, or death. The Maker voluntarily chooses to participate with knowledge of these risks and assumes all risks inherent in the Maker’s own activities and all other risks the Maker knowingly and voluntarily encounters, except to the extent a risk may not lawfully be assumed. The Maker is responsible for determining whether the Maker and its personnel are physically, medically, and technically capable of participating safely. 26. Release and Waiver of Liability TO THE FULLEST EXTENT PERMITTED BY NEW YORK LAW, the Maker, for itself and for anyone claiming through the Maker, releases and agrees not to sue the Released Parties for claims arising from or related to: The Maker’s participation in the Event; The Maker’s presence at the venue; Setup, operation, performance, instruction, exhibition, sales, or breakdown; Damage to or loss of property; Personal injury, illness, disability, or death; Event cancellation, interruption, relocation, postponement, or modification; Acts or omissions of attendees or third parties; and Risks voluntarily assumed under this Agreement. This release is intended to include claims based on the ordinary negligence of a Released Party only to the extent such claims may legally be released. This Agreement does not release or limit liability for gross negligence, reckless conduct, intentional misconduct, fraud, or any other liability that cannot legally be waived or limited. Nothing in this Agreement is intended to waive rights in a manner prohibited by New York General Obligations Law § 5-326 or any other applicable law. 27. Indemnification To the fullest extent permitted by law, the Maker shall defend, indemnify, and hold harmless the Released Parties from claims, demands, actions, liabilities, judgments, penalties, damages, losses, and reasonable legal expenses, including attorneys’ fees, to the extent arising from: The Maker’s activities, exhibit, products, services, workshop, demonstration, performance, or sales; The acts or omissions of the Maker or its personnel; Injury or property damage caused by the Maker’s tools, equipment, products, materials, structures, or activities; The Maker’s breach of this Agreement; Failure to comply with law, permits, venue rules, or safety requirements; Intellectual-property infringement; Consumer, product-liability, warranty, or sales claims; Employment, wage, tax, or contractor claims involving the Maker’s personnel; Failure to obtain required consent, licenses, insurance, or permissions; or Damage to the venue or third-party property caused by the Maker. The Maker’s indemnification obligation shall apply only to the extent of the Maker’s responsibility and shall not require the Maker to indemnify a Released Party for that Released Party’s sole gross negligence or intentional misconduct. The Organizer may select counsel for a covered claim, subject to the Maker’s reasonable approval when the Maker is paying the defense costs. 28. Limitation of Commercial Liability To the fullest extent permitted by law, the Released Parties shall not be liable for indirect, incidental, special, exemplary, punitive, or consequential economic damages, including lost profits, lost sales, lost opportunities, reputational harm, or loss of data. For claims relating solely to fees, space assignment, scheduling, utilities, commercial expectations, or Event administration, the Organizer’s aggregate contractual liability shall not exceed the participation fees actually paid by the Maker to the Organizer. This limitation does not apply to bodily injury or other liability that cannot legally be limited. 29. Emergency Medical Assistance If the Maker or its personnel become injured or ill and are unable to provide instructions, the Maker authorizes the Organizer to contact emergency services and provide reasonable emergency assistance. The Organizer is not required to provide medical treatment or transportation. The Maker is responsible for medical, ambulance, transportation, and related expenses incurred on behalf of the Maker or its personnel, except to the extent otherwise required by law. Emergency contact will be sent in maker materials before the show. 30. Organizer’s Right to Inspect, Suspend, or Remove The Organizer may inspect any exhibit or activity and may require modification, suspension, or removal when the Organizer reasonably believes that: A condition is unsafe; Information was omitted or misrepresented; An activity violates law or Event rules; Required permits or insurance are missing; An exhibit disrupts Event operations; A person is acting inappropriately; The venue or governmental authority requires action; or Removal is reasonably necessary to protect people, property, or the Event. The Organizer’s inspection or failure to inspect does not transfer the Maker’s responsibility for safety or compliance to the Organizer. In an immediate safety situation, the Organizer may stop an activity without advance notice. 31. Event Changes, Cancellation, and Force Majeure The Organizer may modify, postpone, relocate, shorten, suspend, or cancel the Event because of: Severe weather; Fire, flood, or natural disaster; Public-health conditions; Governmental action; Security concerns; Labor disputes; Utility or transportation interruption; Venue unavailability; Civil disturbance; Terrorism or credible threats; Equipment or infrastructure failure; Conditions affecting public safety; or Other circumstances outside the Organizer’s reasonable control. The Organizer is not liable for the Maker’s travel, lodging, shipping, staffing, production, inventory, or other expenses. Any refund or credit shall be determined by the Event’s stated refund policy and applicable law. 32. Independent Participants The Maker is an independent participant and not an employee, partner, agent, franchisee, representative, or joint venturer of the Organizer. The Maker may not enter into contracts on behalf of the Organizer or imply that the Organizer endorses the Maker’s products, services, political positions, or claims. 33. Governing Law and Venue This Agreement shall be governed by the laws of the State of New York, without regard to conflict-of-law principles. Subject to any applicable mandatory law, any legal proceeding arising from this Agreement shall be brought in a state or federal court located in the City of New York and county in which the Event is held. The parties consent to personal jurisdiction in those courts. 34. Severability and Reformation If any provision of this Agreement is found invalid, illegal, or unenforceable: The provision shall be enforced to the maximum extent permitted by law; The provision may be narrowed or reformed where legally permitted; and The remaining provisions shall continue in effect. The invalidity of any portion of the release or waiver shall not invalidate the safety obligations, indemnification obligations, insurance requirements, assumption of risk, or other independent provisions of this Agreement. 35. Entire Agreement and Amendments This Agreement, the accepted application, written safety requirements, fee schedule, and incorporated Event policies constitute the entire agreement concerning the Maker’s participation. Any amendment must be in writing and approved by the Organizer. Event operational and safety rules may be updated when reasonably necessary, and the Maker agrees to comply with rules communicated before or during the Event. 36. Electronic Acceptance and Counterparts This Agreement may be signed electronically and in counterparts. Typing a name, checking an acceptance box, or applying an electronic signature through the Organizer’s registration system constitutes the signer’s intended signature to the extent permitted by law. I confirm that: I have carefully read this Agreement; I understand its terms; I understand that participation may involve risk of injury or property damage; I have had an opportunity to ask questions; I am signing voluntarily; I have authority to sign for the Maker identified below; and I understand that this Agreement includes an assumption of risk, release of liability, indemnification obligation, and media consent.
